(g) OTHER COMMITTEES:

The Exco may constitute any other Committee as the need arises.

18. MEETINGS

i.    The National Association shall meet annually in February of every year in such a manner as to coincide with the school founder’s day celebrations.
ii.    The National Exco shall meet at least three (3) times in a year. The mode of meeting may be physical or virtual provided these are agreed to by Exco members
iii.    The time and venue of such meetings shall be fixed by the National Exco;
iv. There shall be Extra-Ordinary meeting at the discretion of the President whenever necessary and/or at the request of not less than five (5) registered Branches.

19. NOTICES OF MEETINGS

The National Secretary General shall cause notices of meeting to be issued out as follows:
i.    For the annual re-union, with at least 30 days notice
ii.    For an emergency meeting of the Association, with at least 14 days notice.
iii.    For meeting of the National Exco, with at least 14 days notice.

20. MEETINGS OF BRANCHES

I.    The Branch/Set Exco shall meet at least quarterly; and may avail the National President or School Principal with invitation to attend any of their meetings

21 QUORUM

I.    The required Quorum at Annual/General Meetings shall be representatives from five (5) registered Branches/Sets;
ii. The required Quorum at Exco meetings shall be four (4) members, provided that the President or the Vice Presidents is present.
II.    The required Quorum at Branch/Class Set meetings shall be five (5) members or as may be decided by the branch set members or Exco.

22. DELEGATION OF FUNCTIONS

The National Exco may delegate any Member(s) or Officer(s) to carry out any function on its behalf.

23. SECRETARIAT

The National Secretariat shall be Manuwa Memorial Grammar School, Iju-Odo, Okitipupa, Ondo State.

24. SOURCES OF FINANCE

The Association shall rely on the under-mentioned for its finances: 

I.    Annual subscription (Dues);
ii. Donations;
iii. Monies realized from programme of activities and any other legitimate sources;
iv. Levies.

25. BANKERS

The Exco, Convention or General Assembly shall determine the Association’s Bankers.

26. SIGNATORIES

i. Signatories to the Association’s account(s) at the National, Branch, Sub-branch and Set organs shall be the President/Chairman, Financial Secretary and Treasurer; 
ii. All withdrawals of monies on behalf of the Association shall be carried out where two out of the three officers mentioned in (i) above append their signatures on the Bank Withdrawal Form, provided the National President or Branch Chairman is a mandatory signatory.
27. AMENDMENTS

i. Any amendments to this Constitution shall only be made at the Convention and for such amendments to become effective it shall be passed by not less than 2/3 of members present. 
ii. Any person or Branch that desires an amendment to the Constitution must communicate the proposed amendment to the National Secretariat in writing before the Convention.

28. SUPREMACY

1. This Constitution is supreme and its provisions shall have binding effect on all members and organs established under this Constitution.

29. INTERPRETATION

Except otherwise provided in this Constitution:

a.    ‘MAMEGSOSA’ means Manuwa Memorial Grammar School Old Students Association
b.    ‘The School’ means Manuwa Memorial Grammar School and where the context warrants shall include the Principal and Staff of the Institution. 
d. ‘National Secretariat’ means the National Office of the Association.
e. ‘Convention’ means Annual Reunion or General Meeting of members of the Association.
g. ‘General Election’ means election of officers during Conventions or General Assemblies.
h. ‘Ex-officio members’ means immediate past Presidents/Chairmen and Secretaries of the National Association/Branches.
i. ‘Active Members’ means those members who have continually participate in MAMEGSOSA activities and have complied with all relevant financial commitments.

This constitution was adopted at the Convention held at the ------------------------------------- on the--------------- day of ---------------------------- in the year ------------------------------------------ by ------------------ members of MANUWA MEMORIAL GRAMMAR SCHOOL OLD STUDENTS ASSOCIATION.
